These Terms & Conditions are subject to change by Simply Music LLC (hereinafter "SM") at any time and at our discretion without notice by updating this posting.

By using this Site, you accept the Terms & Conditions, and we encourage you to review these whenever you visit our Site to make sure you understand how they apply.

  1. As part of being registered as a student of any SM Program or Course, you are provided access to "audio, video and printable digital files" (hereinafter "Materials"). You acknowledge and agree that all Materials available on this Site are protected by "Copyrights, Trademarks, Service Marks and Wordmarks" (hereinafter "Marks"), or other proprietary rights and laws. SM expressly grants permission for you view and review Materials, as well as print out a working copy of relevant Materials that are provided to you as a part of being a student of any SM Program or Course. Except as expressly permitted by SM, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display or present, publish, adapt, edit, or create derivative works from such Materials.

    In addition, reproduction, copying, or redistribution for commercial purposes of any logos, graphics and/or design elements on this Site is strictly prohibited without the express written permission of SM.   2. Permission is granted to access the Materials on this Site for personal, non-commercial transitory educational viewing only. This is the grant of a license from SM, not a transfer of title, and under this license you shall NOT:

    • Modify or copy the Marks or Materials;
    • Use the Marks or Materials for any commercial purpose, or for any public display (commercial or non-commercial);
    • Attempt to decompile or reverse engineer any software contained on and SM Site;
    • Remove any copyright or other proprietary notations from the Marks or Materials; or
    • Transfer the Marks or Materials to another person or "mirror" the Marks or Materials on any other server.

    This license shall automatically terminate if you violate any of these restrictions and may be terminated by SM at any time.

  3. The cost to participate in SM Programs and Courses varies according to which course is selected during the registration or enrollment process. For other SM’s Programs and Courses, there may be a one-time fee. This will always be clearly stated at the time of registration or enrollment.

  4. Regarding the Materials on this Site it is possible that there are technical, typographical, or photographic errors. SM strives for excellence and accuracy but does not warrant that any of the Materials on this Site are flawless and without inaccuracies. SM may make changes to the Materials at any time without notice.

  5. This Site may link you to other sites on the Internet. While SM makes considerable effort to maintain the integrity and quality of the Programs, Courses and Materials we provide, we are not responsible for the content presented and/or displayed any third parties.

  6. You affirm that you are either more than 18 years of age, or an emancipated minor, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms and Conditions.

  7. You agree to defend, indemnify, and hold SM and its other affiliated companies harmless, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney’s fees, that arise from your misuse of this Site.

  8. Unless otherwise specified herein, this agreement constitutes the entire agreement between you and SM with respect to this Site and supersedes all prior or contemporaneous communications between you and SM with respect to this Site. If any part of these Terms and Conditions is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

  9. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California. You hereby consent to binding arbitration in the State of California to resolve any disputes arising under this Terms and Conditions.
